You will release,indemnify, defend and hold harmless Uravu Labs Private Limited, and any of itscontractors, agents, employees, officers, directors, shareholders, affiliatesand assigns from all liabilities, claims, damages, costs and expenses,including reasonable attorneys' fees and expenses, of third parties relating toor arising out of (1) this Agreement or the breach of your warranties,representations and obligations under this Agreement; (2) the Website contentor your use of the Website content; (3) the Products or your use of theProducts (including Trial Products); (4) any intellectual property or otherproprietary right of any person or entity; (5) your violation of any provisionof this Agreement; or (6) any information or data you supplied to Uravu LabsPrivate Limited. When Uravu Labs Private Limited is threatened with suit orsued by a third party, Uravu Labs Private Limited may seek written assurancesfrom you concerning your promise to indemnify Uravu Labs Private Limited; yourfailure to provide such assurances may be considered by Uravu Labs PrivateLimited to be a material breach of this Agreement. Uravu Labs Private Limited willhave the right to participate in any defense by you of a third-party claimrelated to your use of any of the Website content or Products, with counsel of UravuLabs Private Limited choice at its expense. Uravu Labs Private Limited willreasonably cooperate in any defense by you of a third-party claim at yourrequest and expense. You will have sole responsibility to defend Uravu LabsPrivate Limited against any claim, but you must receive Uravu Labs PrivateLimited prior written consent regarding any related settlement. The terms ofthis provision will survive any termination or cancellation of this Agreementor your use of the Website or Products.

VI.AGREEMENT TO BE BOUND

VIII.GENERAL

Force Majeure. Uravu Labs Private Limited will not be deemed indefault hereunder or held responsible for any cessation, interruption or delayin the performance of its obligations hereunder due to earthquake, flood, fire,storm, natural disaster, act of God, war, terrorism, armed conflict, laborstrike, lockout, or boycott.

Cessation of Operation. Uravu Labs Private Limited may at any time, inits sole discretion and without advance notice to you, cease operation of theWebsite and distribution of the Products.

Entire Agreement. ThisAgreement comprises the entire agreement between you and Uravu Labs Private Limited and supersedes anyprior agreements pertaining to the subject matter contained herein.

Effect of Waiver. Thefailure of Uravu Labs Private Limited toexercise or enforce any right or provision of this Agreement will notconstitute a waiver of such right or provision. If any provision of thisAgreement is found by a court of competent jurisdiction to be invalid, theparties nevertheless agree that the court should endeavor to give effect to theparties' intentions as reflected in the provision, and the other provisions ofthis Agreement remain in full force and effect.

Governing Law; Jurisdiction.This Website originates from Bengaluru, Karnataka. This Agreement will begoverned by the laws of the State of Karnataka without regard to its conflictof law principles to the contrary. Neither you nor Uravu Labs Private Limited will commence orprosecute any suit, proceeding or claim to enforce the provisions of thisAgreement, to recover damages for breach of or default of this Agreement, orotherwise arising under or by reason of this Agreement, other than in courtslocated in State of Karnataka. By using this Website or ordering Products, youconsent to the jurisdiction and venue of such courts in connection with anyaction, suit, proceeding or claim arising under or by reason of this Agreement.You hereby waive any right to trial by jury arising out of this Agreement andany related documents.

ElectronicCommunications. By using the Website, you consent to receivingcommunications from us electronically, including via email, SMS, WhatsAppBusiness API, or notices posted on the Website. You agree that all agreements,notices, disclosures, and other communications we provide electronicallysatisfy any legal requirement that such communications be in writing.

Statute of Limitation. You agreethat regardless of any statute or law to the contrary, any claim or cause ofaction arising out of or related to use of the Website or Products or thisAgreement must be filed within one (1) year after such claim or cause of actionarose or be forever barred.

Waiver of Class ActionRights.BY ENTERING INTO THIS AGREEMENT, YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAYHAVE TO JOIN CLAIMS WITH THOSE OF OTHER IN THE FORM OF A CLASS ACTION ORSIMILAR PROCEDURAL DEVICE. ANY CLAIMS ARISING OUT OF, RELATING TO, ORCONNECTION WITH THIS AGREEMENT MUST BE ASSERTED INDIVIDUALLY.

Termination. Uravu Labs Private Limited reserves the right toterminate your access to the Website if it reasonably believes, in its solediscretion, that you have breached any of the terms and conditions of thisAgreement. Following termination, you will not be permitted to use the Websiteand Uravu Labs Private Limited may, in itssole discretion and without advance notice to you, cancel any outstandingorders for Products. If your access to the Website is terminated, Uravu Labs Private Limited reserves the right toexercise whatever means it deems necessary to prevent unauthorized access ofthe Website. This Agreement will survive indefinitely unless and until Uravu Labs Private Limited chooses, in its solediscretion and without advance to you, to terminate it.

Domestic Use. Uravu Labs Private Limited makes no representation thatthe Website or Products are appropriate or available for use in locationsoutside India. Assignment. You may not assign your rightsand obligations under this Agreement to anyone. Uravu Labs Private Limited mayassign its rights and obligations under this Agreement in its sole discretionand without advance notice to you.
